Terms of Use

1. These terms, and the agreement that outranks them

These Terms of Use govern your access to ontrackio.com and your use of the OnTrackio service, including free trials and self-serve sign-ups. By using the site or the service you agree to them.

If you are a paying customer, your use is governed by our Master Service Agreement (MSA) and the applicable Order Form. Where they differ from these Terms, the MSA and Order Form prevail. Request the MSA and the Data Processing Agreement from sales@ontrackio.com.

2. The service

OnTrackio is an IT asset management platform — hardware, software, licenses, and contracts, with compliance-evidence features — operated by OnTrackio ITAM UAB, a company organised under the laws of the Republic of Lithuania. Access is by subscription; the tiers and pricing are on our Pricing page.

3. Your account

You are responsible for your account, for the people you authorise to use it, and for keeping credentials confidential. Enable multi-factor authentication where the service offers it, and tell us promptly at security@ontrackio.com about any suspected unauthorised access.

4. Acceptable use

Use the service lawfully. You agree not to:

• copy, modify, or reverse-engineer the service except where the law expressly permits it;
• resell, sublicense, or make the service available to anyone other than your authorised users;
• use the service to build a competing product;
• upload content that infringes someone else's rights or breaks the law; or
• probe, scan, or interfere with the security or availability of the service.

5. Your data

You keep all rights to the data you put into the service. You grant us a limited licence to host and process it solely to provide the service. We process personal data as described in our Privacy Policy and, for customers, the DPA. We may use aggregated, de-identified data to operate and improve the product, in a form that does not identify you or your users.

6. Fees, trials, and cancellation

Paid plans are billed annually in advance unless your Order Form says otherwise. Fees exclude taxes; EU customers with a valid VAT ID are invoiced under the reverse-charge mechanism. The 14-day trial needs no card and runs on the Business tier; at the end you pick a tier, and if you don't, the workspace becomes read-only with a 30-day export window. 7. Intellectual property

OnTrackio and its licensors own the service, its software, and its documentation. You receive only the rights these Terms and, where applicable, the MSA grant you.

8. Availability and warranties

We work to keep the service available and materially conforming to its documentation, and we publish live status at app.ontrackio.com/status. Except as expressly stated in the MSA, the service is provided "as is" and we disclaim other warranties to the fullest extent the law allows.

9. Liability

To the extent permitted by law, neither party is liable for indirect, incidental, or consequential loss, or for lost profits or data. For paying customers, the MSA sets the agreed limit of liability; nothing in these Terms limits liability that cannot be limited under applicable law.

10. Suspension and termination

We may suspend or end access for material breach of these Terms or the MSA (with the notice and cure period the MSA provides) or for non-payment. On termination you can export your data for 30 days, and we delete it within 60 days, except where the law requires us to keep it.

11. Governing law

These Terms, and any dispute arising from them, are governed by the laws of the Republic of Lithuania. The courts of Vilnius have exclusive jurisdiction, subject to any different dispute-resolution terms in a signed MSA.

12. Changes and contact
